Terms of Service

1. Acceptance of Terms

By accessing or using Project Relay (the “Platform,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”) and all applicable laws and regulations. If you are under 18 years of age, you confirm that your parent or legal guardian has reviewed these Terms and consents to your use of the Platform. If you do not agree with any of these Terms, you are prohibited from using or accessing the Platform.

2. Description of Service

Project Relay is an online platform designed to connect students who have created meaningful projects with incoming students who wish to continue those projects. The Platform facilitates the discovery, transfer, and continuation of student-led initiatives, research projects, clubs, nonprofit efforts, and other ventures. Project Relay does not guarantee successful matches, transfers, or outcomes of any kind.

3. Eligibility and Parental Consent

You must be at least 13 years of age to use the Platform. Users between the ages of 13 and 17 (“Minors”) must have verifiable parental or legal guardian consent before creating an account. By completing account registration, you (and, if applicable, your parent or legal guardian) represent and warrant that:

  • You are at least 13 years of age;
  • If you are a Minor, your parent or legal guardian has reviewed these Terms and consents to your use of the Platform;
  • You have the legal capacity to enter into a binding agreement, or your parent or guardian has done so on your behalf;
  • Your use of the Platform does not violate any applicable law or regulation.

We reserve the right to terminate or suspend any account we reasonably believe was created by or on behalf of a person under 13, or where parental consent has not been obtained for a Minor.

4. User Accounts

To access certain features of the Platform, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration and keep it up to date;
  • Use a username that does not impersonate any person or entity or violate any third-party rights;
  • Keep your password secure and not share it with others;
  • Accept responsibility for all activities that occur under your account;
  • Notify us immediately at legal@projectrelay.org of any unauthorized use of your account.

We reserve the right to suspend, terminate, or refuse accounts at our discretion, including for inactivity, policy violations, or fraudulent activity. Upon termination, your right to use the Platform immediately ceases. You may request account deletion by contacting us; we will process deletion requests within 30 days, subject to legal retention requirements.

5. Project Listings and Content

When you create or interact with project listings on the Platform, you agree that:

  • All information you provide about your project is accurate, truthful, and not misleading;
  • You own the rights to the project or have appropriate authorization to list it;
  • Your content does not infringe any third-party intellectual property, privacy, or other rights;
  • You will not post fraudulent, deceptive, harmful, or inappropriate content;
  • Project Relay does not guarantee successful matches, transfers, or continuations of projects;
  • Project Relay is not a party to any agreement or arrangement between users regarding project transfers.

6. Messaging and Communications

The Platform includes a messaging feature that allows users to communicate with each other. Messages sent through the Platform are not end-to-end encrypted and are stored on our servers. By using the messaging feature, you acknowledge and agree that:

  • Your messages may be reviewed by Project Relay staff to ensure compliance with these Terms and our Chat Use Policy;
  • You will not use the messaging feature for any unlawful, harmful, or abusive purpose;
  • You will not send spam, unsolicited commercial messages, or automated bulk messages;
  • You are solely responsible for the content of messages you send;
  • Project Relay is not responsible for the content of messages sent by other users.

7. Prohibited Conduct

You agree not to use the Platform to:

  • Engage in any unlawful activity or facilitate illegal actions;
  • Harass, bully, threaten, stalk, or harm other users;
  • Post or transmit false, defamatory, misleading, or deceptive content;
  • Solicit money, personal financial information, or sensitive personal data from other users;
  • Distribute malware, viruses, or other malicious code;
  • Attempt to gain unauthorized access to any part of the Platform or its systems;
  • Use automated tools, bots, crawlers, or scrapers without our express written permission;
  • Interfere with or disrupt the integrity, availability, or performance of the Platform;
  • Impersonate any person, entity, or organization;
  • Collect or harvest personal information of other users without consent;
  • Use the Platform for commercial advertising without our prior written consent.

Violations may result in immediate account suspension or termination without notice.

8. Intellectual Property

The Platform and its original content, features, design, and functionality are the exclusive property of Project Relay and are protected by U.S. and international copyright, trademark, and other laws. You retain ownership of content you submit (project descriptions, messages, profile information), but you grant Project Relay a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, display, and distribute that content solely for the purpose of operating and improving the Platform. This license terminates when you delete your content or account (subject to any legal retention obligations).

9. Disclaimer of Warranties

The Platform is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We do not warrant the accuracy, completeness, or usefulness of any content on the Platform.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Project Relay, its officers, directors, employees, partners, agents, suppliers, or affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including without limitation loss of profits, data, use, goodwill, or other intangible losses — arising out of or relating to your access to or use of (or inability to access or use) the Platform, any content or conduct of any third party on the Platform, or unauthorized access to or alteration of your content. Our total cumulative liability to you for any claims arising under these Terms shall not exceed the greater of (a) the amount you paid to use the Platform in the 12 months preceding the claim or (b) $50.

11. Indemnification

You agree to defend, indemnify, and hold harmless Project Relay and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms, your use of the Platform, or your User Content.

12. Dispute Resolution and Governing Law

These Terms are governed by and construed in accordance with the laws of the United States and, to the extent applicable, the state in which Project Relay is incorporated, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Platform shall first be subject to informal resolution — you agree to contact us at legal@projectrelay.org and give us 30 days to resolve the issue before initiating any formal proceeding. If informal resolution fails, disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association (“AAA”), except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction for violations of intellectual property rights or unauthorized access to the Platform. You waive any right to participate in a class action lawsuit or class-wide arbitration.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the “Last updated” date above and, where appropriate, sending an email notification to registered users. Your continued use of the Platform after changes are posted constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Platform and may request account deletion.

14. Termination

We may suspend or terminate your access to the Platform at any time, with or without cause or notice, including for violations of these Terms. You may terminate your account at any time by contacting us. Sections 8, 9, 10, 11, 12, and 14 survive termination of these Terms.
