By accessing or using Project Relay (the “Platform,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this site. These terms apply to all visitors, users, and others who access or use the Platform.
2. Description of Service
Project Relay is a platform designed to connect students who have created meaningful projects with incoming students who wish to continue those projects. The Platform facilitates the discovery, transfer, and continuation of student-led initiatives, research projects, clubs, and other ventures.
3. Eligibility
You must be at least 13 years of age to use the Platform. By using the Platform, you represent and warrant that you are at least 13 years old and that you have the legal capacity to enter into these Terms. If you are under 18, you represent that your parent or guardian has reviewed and consented to these Terms.
4. User Accounts
To access certain features of the Platform, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Keep your password secure and confidential
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized use of your account
We reserve the right to terminate accounts, remove content, or cancel projects at our discretion.
5. Project Listings and Content
When you create or interact with project listings on the Platform, you agree that:
- All information you provide about your project is accurate and truthful
- You own the rights to the project or have appropriate authorization to list it
- Your content does not violate any third-party intellectual property rights
- You will not post misleading, fraudulent, or inappropriate content
- Project Relay does not guarantee successful matches or project transfers
6. Prohibited Conduct
You agree not to:
- Use the Platform for any unlawful purpose or in violation of any regulations
- Harass, abuse, threaten, or harm other users
- Post false, misleading, or deceptive content
- Attempt to gain unauthorized access to any portion of the Platform
- Use automated tools, bots, or scrapers to access the Platform
- Interfere with or disrupt the integrity or performance of the Platform
- Impersonate any person or entity
7. Intellectual Property
The Platform and its original content, features, and functionality are and will remain the exclusive property of Project Relay. Our service is protected by copyright, trademark, and other laws. You retain ownership of any content you submit, but you grant us a non-exclusive, royalty-free license to use, display, and distribute your content in connection with operating the Platform.
8. Disclaimer of Warranties
The Platform is provided on an “AS IS” and “AS AVAILABLE” basis without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components.
9. Limitation of Liability
In no event shall Project Relay, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of (or inability to access or use) the Platform.
10. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of significant changes by updating the “Last updated” date at the top of these Terms. Your continued use of the Platform after any changes constitutes your acceptance of the new Terms.
